Terms and Conditions

These Terms & Conditions ("Terms") govern your use of the Kanuck AI website and all services provided by Kanuck AI.

By accessing our website or purchasing our services, you agree to these Terms.

1. Services

Kanuck AI provides professional services including but not limited to:

  • AI workforce implementation
  • AI employee setup
  • AI automation
  • AI search visibility (AEO)
  • SEO
  • Google Business Profile optimization
  • Google Ads management
  • Meta Ads management
  • TikTok Ads management
  • Reputation management
  • Lead follow-up automation
  • AI consulting
  • Marketing strategy
  • Other related business services

Specific deliverables vary based on the service package purchased.

2. Monthly Subscription Services

Many Kanuck AI services are provided on a recurring monthly subscription.

By purchasing a subscription, you authorize recurring billing using your selected payment method until the subscription is cancelled in accordance with these Terms.

3. Setup Fees

Some services require a one-time setup fee.

Setup fees cover onboarding, implementation, configuration, account setup, integrations, strategy development, and initial service delivery.

Unless required by law, setup fees are non-refundable once work has commenced.

4. Monthly Billing

Subscriptions are billed monthly in advance.

Payments are automatically charged using the payment method on file.

Failure to make payment may result in suspension or termination of services.

5. Subscription Cancellation

Either party may terminate a monthly subscription by providing at least 30 days' written notice before the next billing cycle.

Fees already paid are generally non-refundable unless otherwise required by law.

Any outstanding balances remain payable after cancellation.

6. Client Responsibilities

Clients agree to:

  • Provide accurate information
  • Respond to reasonable requests in a timely manner
  • Maintain access to required business accounts
  • Comply with applicable laws
  • Ensure they have rights to provide any materials supplied to Kanuck AI

Delays in providing required information may delay project timelines.

7. Results Disclaimer

Kanuck AI provides professional services based on industry best practices.

Because search engines, AI platforms, advertising platforms, and market conditions continually change, we cannot guarantee:

  • Search rankings
  • AI recommendations
  • Lead volume
  • Revenue
  • Sales
  • Advertising performance
  • Specific business outcomes

Past performance does not guarantee future results.

8. AI Services

AI-generated content, recommendations, or automations may contain inaccuracies or require human review.

Clients remain responsible for reviewing and approving business-critical decisions, content, communications, and outputs before use.

9. Intellectual Property

Unless otherwise agreed in writing:

  • Kanuck AI retains ownership of its proprietary systems, methodologies, templates, software, and intellectual property.
  • Clients retain ownership of their own business content, trademarks, branding, and data.
  • Upon payment in full, clients receive a licence to use deliverables created specifically for their business, subject to any third-party licensing restrictions.

10. Confidentiality

Both parties agree to maintain the confidentiality of non-public business information received during the course of the engagement, except where disclosure is required by law.

11. Limitation of Liability

To the maximum extent permitted by law, Kanuck AI shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, business interruption, or loss of data arising from the use of our services.

Our total liability for any claim relating to our services shall not exceed the total fees paid by the client to Kanuck AI during the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Kanuck AI, its owners, employees, contractors, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from:

  • Your misuse of our services
  • Materials you provide
  • Your violation of these Terms
  • Your violation of applicable laws or the rights of third parties

13. Third-Party Platforms

Kanuck AI may work with third-party platforms including Google, Meta, TikTok, HubSpot, Vendasta, OpenAI, Anthropic, payment processors, and other software providers.

We are not responsible for service interruptions, pricing changes, policy updates, outages, or actions taken by these third-party providers.

14. Website Use

You agree not to:

  • Attempt unauthorized access to our systems
  • Interfere with website operation
  • Upload malicious software
  • Copy proprietary content without permission
  • Use the website for unlawful purposes

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes shall be brought before the courts of Ontario, unless otherwise required by applicable law.

16. Changes to These Terms

Kanuck AI may update these Terms from time to time.

The latest version will always be available on our website and becomes effective upon posting.
